BJSS - Enterprise Agile AI Chatbot - Terms Of Use

1. Introduction

1.1 We are delighted to provide you with access to the 'Enterprise Agile AI assistant' which is a chatbot (“Chatbot”).
1.2 The Chatbot is a virtual assistant powered by generative artificial intelligence (“Generative AI”) to respond to your questions regarding our Enterprise Agile product. Please see the following link for further details regarding our Enterprise Agile product https://www.bjss.com/enterprise-agile.
1.3 By asking questions and interacting with the Chatbot you will find out information on how our Enterprise Agile product assists with agile software delivery and management.

2. These Terms

2.1 These terms and conditions (“Terms”) tell you the rules for your use of the Chatbot. Please read these Term carefully before using the Chatbot.

2.2 The Chatbot is provided by us to you free of charge for information purposes only.

2.3 The Chatbot is made available by us with the intention to demonstrate to you the behaviour of generative AI. The Chatbot is not to be used by you for any other purpose.

3. Who We Are And How To Contact Us

3.1 We are BJSS Limited and we operate https://www.bjss.com/ (“our site”). We are a limited company registered in England and Wales under company number 02777575 and have our registered office at 1 Whitehall Quay, Leeds, England, LS1 4HR.

4. By Using Chatbot You Accept These Terms

By using the Chatbot, you confirm that you accept these Terms and that you agree to comply with them. If you do not agree to these Terms, you must not use the Chatbot.

5. Other Terms

5.1 These Terms refer to our Privacy Notice, which also apply to your use of our the Chatbot and our site.

5.2 You are also responsible for ensuring that all persons who access the Chatbot and our site through your internet connection are aware of these Terms and other applicable terms and conditions (in particular as referenced at clause 15), and that they comply with them.

5.3 Our Chatbot is designed to be accessed and used by people residing in the United Kingdom. We do not represent that content available on or through our site is appropriate for use or available in other locations.

6. Use Of The Chatbot

6.1 Your use of the Chatbot is solely limited to asking questions of the Chatbot regarding our Enterprise Agile product for demonstration purposes. You shall not use the Chatbot for any other purpose.

6.2 You must not copy the Chatbot nor disassemble, decompile, reverse-engineer or create derivative works based on the whole or any part of the Chatbot or attempt to do any such thing.

6.3 You must not misuse the Chatbot or our site by knowingly introducing viruses, trojans, worms, logic bombs or other material that is malicious or technologically harmful.

6.4 You must not attempt to gain unauthorised access to the Chatbot, our site, the server on which our site is stored or any server, computer or database connected to the Chatbot or our site.

6.5 You must not attack our Chatbot or our site via a denial-of-service attack or a distributed denial-of service attack.

7. Limitations Of The Chatbot

7.1 We are making the Chatbot available for demonstration purposes and any responses provided by the Chatbot are for general information only.

7.2 The Chatbot generates some of its responses by using a Generative AI model and you recognise that such Generative AI models may produce content which is inaccurate or incomplete.

7.3 The Chatbot's responses must not be interpreted as advice, facts, or statements upon which you should rely. The Chatbot's responses must only be considered as demonstrations of the characteristics of a Generative AI chatbot in relation to our Enterprise Agile product.

7.4 Where you require further information you should obtain our professional and specialist advice regarding the Enterprise Agile product by contacting us on the details at clause 3 above.

7.5 You recognise that we will develop and change the Chatbot over time so some of the functionality and characteristics of the Chatbot may change from time to time.

8. Infringing Content

8.1 We reserve the right to delete your access to the Chatbot where it is being used in an inappropriate manner or in breach of these Terms.

8.2 We will use commercially reasonable efforts to identify and remove any responses by the Chatbot which are inappropriate, defamatory or infringes intellectual property rights when we are notified, but we cannot be responsible if you have failed to provide us with the relevant information.

8.3 If you believe that any responses from the Chatbot are inappropriate, defamatory or infringing any intellectual property rights, you should contact us immediately using the contact details included at paragraph 3 above.

9. Submitting Questions To The Chatbot

9.1 While we try to make sure that the Chatbot is secure, we do not actively monitor or check whether questions or information submitted to the Chatbot is confidential, commercially sensitive or valuable.

9.2 Whenever you submit questions to the Chatbot you must comply with the standards set out in these Terms, in particular this clause 9.

9.3 Your questions will be considered non-confidential and non-proprietary. We may use any question and the results obtained from it on an unrestricted and free-of-charge basis as we reasonably see fit.

9.4 We have the right to block or delete any question you make to the Chatbot if, in our opinion, it does not comply with our standards.

9.5 Your questions to the Chatbot must not:

  • 9.5.1 be defamatory of any person;
  • 9.5.2 be obscene, offensive, hateful or inflammatory;
  • 9.5.3 bully, insult, intimidate or humiliate any person;
  • 9.5.4 promote violence, discrimination, or any illegal activity;
  • 9.5.5 infringe the intellectual property rights of any other person;
  • 9.5.6 be likely to deceive any person;
  • 9.5.7 breach any legal duty owed to a third party, such as a contractual duty or a duty of confidence;
  • 9.5.8 be in contempt of court;
  • 9.5.9 be threatening, abuse or invade another's privacy, or cause annoyance, inconvenience or needless anxiety;
  • 9.5.10 be likely to harass, upset, embarrass, alarm or annoy any other person;
  • 9.5.11 impersonate any person, or misrepresent your identity or affiliation with any person;
  • 9.5.12 advocate, promote, incite any party to commit, or assist any unlawful or criminal act; or
  • 9.5.13 contain information that you may consider to be personal, sensitive or secret in its nature.

9.6 Further to the provisions of clause 9.5 your question to the Chatbot must comply in all aspects with the laws of England and Wales (in addition to the laws of any country from where it is posted).

10. Availability

10.1 The Chatbot is made available free of charge. We do not guarantee that the Chatbot or any functionality of it, will always be available or be uninterrupted.

10.2 We may suspend or withdraw or restrict the availability of all or any part of the Chatbot for business and operational reasons.

11. Intellectual Property

11.1 We are the owner or the licensee of all intellectual property rights in the Chatbot and our site, except in relation to our use of the Microsoft “Copilot” product as referenced at clause 15.

11.2 The Chatbot is protected by copyright laws and treaties around the world. All such rights are reserved.

11.3 You must not breach the provisions of clause 6 when using the Chatbot.

11.4 If you copy or reproduce any part of the Chatbot in breach of these Terms, your right to use the Chatbot will cease immediately and you must destroy any copies of the materials you have made.

11.5 You are not permitted to use our names, or logos or other intellectual property in any way which would breach our intellectual property rights without our prior written approval.

11.6 “BJSS Enterprise Agile” is a UK registered trade-mark of ours. You are not permitted to use such trademark without our approval.

If you wish to raise an issue about the Chatbot or our site please contact us using the details above.

13 Our Liability

13.1 We do not exclude or limit in any way our liability to you where it would be unlawful to do so. This includes liability for death or personal injury caused by our negligence or the negligence of our employees, agents or subcontractors and for fraud or fraudulent misrepresentation.

13.2 We are not liable for any loss or damage you suffer as a result of your use of, or reliance on, responses from the Chatbot or information on our site which is provided to us by any third party, as the Chatbot is made available purely for demonstration purposes regarding our Enterprise Agile product.

13.3 If you are a business user, we:

  • 13.3.1 exclude all implied conditions, warranties, representations or other terms that may apply to our site or any content on it.
  • 13.3.2 will not be liable to you for any loss or damage, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, even if foreseeable, arising under or in connection with use of, or inability to use, the Chatbot, our site; or use of or reliance on any responses provided by the Chatbot (as the Chatbot responses are for demonstration purposes only).
  • 13.3.3 will not be liable for loss of profits, sales, business, or revenue; business interruption; loss of anticipated savings; loss of business opportunity, goodwill or reputation (whether such losses are direct or indirect in nature); or any other indirect or consequential loss or damage.
  • 13.4 If you access our site as a consumer you agree not to use our site for any commercial or business purposes, and that we have no liability to you for any loss of profit, loss of business, business interruption, or loss of business opportunity.

14. How We May Use Your Personal Information

14.1 The questions you submit to the Chatbot may be stored by us and/or Microsoft and may be shared with third parties.

14.2 Users must not submit any type of information that carries legal implications for its storage, processing, or sharing.

14.3 Users must not submit personal, sensitive or secret information to the Chatbot, like names, addresses or intellectual property. It is your responsibility to refrain from submitting such information.

14.5 The Chatbot utilises Microsoft “CoPilot”. For this reason, information and data will be shared with Microsoft and their privacy statement at https://privacy.microsoft.com/en-gb/privacystatement will apply to your use of the Chatbot.

15. Events Beyond Our Control

We are not liable to you if we fail to comply with these Terms because of circumstances beyond our reasonable control.

16. Security

16.1 We do not guarantee that the Chatbot or our site will be secure or free from bugs or viruses.

16.2 You are responsible for configuring your information technology, computer programmes and platform to access the Chatbot and our site. You should use your own virus protection software.

17 Changes

17.1 We may amend these Terms from time to time. Every time you wish to use the Chatbot, please check these Terms to ensure you understand the terms that apply at that time.

17.2 If any part of these Terms is found to be unlawful, invalid or unenforceable then the remainder of these Terms will remain in full force and effect.

17.3 We may update and change the Chatbot or our site from time to time to reflect changes to our services, our users' needs and our business priorities.

17.4 You are responsible for ensuring that you have the technology necessary to access and use the Chatbot and our site. We may change the technical requirements for using the Chatbot and our site from time to time.

18. Law And Jurisdiction

18.1 These Terms, their subject matter and their formation, are governed by English law.

18.2 You and we both agree that the courts of England and Wales will have exclusive jurisdiction in relation to these Terms.
